Kelly Malafis is a founding partner of Compensation Advisory Partners LLC (CAP) in New York.  She has 20 years of executive compensation consulting experience working with compensation committees and senior management teams. Kelly’s areas of focus include compensation strategy development, evaluating the pay and performance relationship for senior executives, annual and long-term incentive plan design, compensation program governance and board of director compensation.

Kelly has advised large and small publicly-traded companies in a variety of industries, including financial services, insurance, pharmaceutical, manufacturing, and retail. Kelly has also provided advice on compensation issues for privately-held companies and companies with special circumstances such as IPOs and spin-offs. Kelly holds a BS in Industrial and Labor Relations from Cornell University and an MBA from New York University’s Stern School of Business.

Kelly has advised large and small publicly traded companies in a variety of industries, including financial services, insurance, pharmaceutical, manufacturing, and retail. Kelly has also provided advice on compensation issues for privately-held companies and companies with special circumstances such as IPOs and spin-offs.

Experience

Kelly’s areas of focus include compensation strategy development, evaluating the pay and performance relationship for senior executives, annual and long-term incentive plan design, compensation program governance and board of director compensation. She has recently assisted clients with redesigning their incentive compensation program to align with a transitioning strategy, setting long-term incentive plan performance goals, drafting supporting disclosure and understanding the external views on compensation program practices. Kelly has also advised the U.S. Department of the Treasury on executive compensation matters.

Before joining CAP, Kelly was a principal at Mercer in their Human Capital group and worked in the Performance and Compensation consulting practice at KPMG.

Publications and Speeches

Kelly recently co-authored “How Activist Investors Influence Compensation Program Design” (WorldatWork), “How Compensation Strategies Can Enhance Succession Planning” (NACD Directorship), and “Lessons for the Say on Pay Votes” (Executive Counsel), and is often quoted in the press, including Agenda, CFO Magazine, Directors and Boards and The Wall Street Journal. Kelly is a frequent speaker on executive compensation, presenting at Equilar’s Compensation Committee Forum, Global Equity Organization (GEO), National Association of Stock Plan Professionals (NASPP), The Conference Board, and The Society for Corporate Governance.

Education

Kelly holds a BS in Industrial and Labor Relations from Cornell University and an MBA from New York University’s Stern School of Business.
