A Practical Guide to Compensation Committee Service: Lessons from the Field
Compensation committees are constantly under scrutiny with Say on Pay and the threat of shareholder lawsuits. For new and incumbent compensation committee members, getting things “right” is more important than ever. Compensation Advisory Partners’ book, A Practical Guide to Compensation Committee Service: Lessons from the Field, is written to help new committee members prepare for the role and to serve as an ongoing reference for seasoned committee members on all aspects of executive and director compensation. The Guide incorporates interviews with current and former compensation committee chairs at major U.S. public companies, as well as more than 100 years of combined experience from CAP’s executive compensation consultants.
The focus of this guide is not on the technical aspects of executive compensation design. Instead, our emphasis is on sharing how effective compensation committees structure their activities to effectively address their responsibilities. Not all effective compensation committees use the same approach, but many of the most effective committees share certain characteristics. Each chapter covers a unique topic and incorporates insights from committee members and CAP consultants.
